The Terms along with the attached Order Confirmation form the entire agreement. In case of any conflict, the Order Confirmation prevails only for the scope of that order.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-42cf073 elementor-widget elementor-widget-text-editor\" data-id=\"42cf073\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>2. Services<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-941356d elementor-widget elementor-widget-text-editor\" data-id=\"941356d\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>(a) Celestia will source independent contractors (\u201cContractors\u201d) to provide services to Client (\u201cServices\u201d). The required Contractor skills and responsibilities will be specified by Client (\u201cSpecifications\u201d).<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-886b230 elementor-widget elementor-widget-text-editor\" data-id=\"886b230\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>(b) Contractors are contracted by Celestia but provide Services under Client\u2019s guidance and supervision (\u201cClient Work\u201d). \u201cServices\u201d refers only to Celestia\u2019s sourcing efforts.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-bd68ce2 elementor-widget elementor-widget-text-editor\" data-id=\"bd68ce2\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>(c) Each Contractor has an initial 90 day trial period, after which Client must explicitly approve them or they will be terminated.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-8d515c6 elementor-widget elementor-widget-text-editor\" data-id=\"8d515c6\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>3. Celestia Obligations<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-c898b98 elementor-widget elementor-widget-text-editor\" data-id=\"c898b98\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>Celestia will:<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-e7164ce elementor-widget elementor-widget-text-editor\" data-id=\"e7164ce\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>(a) Source Contractors matching Client Specifications<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-13b219a elementor-widget elementor-widget-text-editor\" data-id=\"13b219a\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>(b) Manage contracting, onboarding, and offboarding<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-3e26ac6 elementor-widget elementor-widget-text-editor\" data-id=\"3e26ac6\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>(c) Be Client\u2019s main point of contact<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-8e3c66d elementor-widget elementor-widget-text-editor\" data-id=\"8e3c66d\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>4. Client Obligations<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-8c704bb elementor-widget elementor-widget-text-editor\" data-id=\"8c704bb\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>Client will:<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-aa5575e elementor-widget elementor-widget-text-editor\" data-id=\"aa5575e\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>(a) Provide Specifications for required Contractors<\/p>\n<p>(b) Guide, train and supervise Contractors performing Client Work<\/p>\n<p>(c) Provide any access, tools, or materials needed for Client Work<\/p>\n<p>(d) Pay Fees and Expenses per this Agreement<\/p>\n<p>(e) Abide by all applicable laws<\/p>\n<p>\u00a0<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-d822c8d elementor-widget elementor-widget-text-editor\" data-id=\"d822c8d\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>5. Fees, Expenses, and Payment Terms<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-5810f36 elementor-widget elementor-widget-text-editor\" data-id=\"5810f36\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>(a) Client will pay a $799 placement fee at start and end of each engagement, along with Contractor fees as invoiced.<\/p>\n<p><br \/>(b) Pre Approved expenses will be invoiced at cost +10% markup.<\/p>\n<p><br \/>(c) Invoices due next 7 days. Late payments incur a $100 monthly fee.<\/p>\n<p><br \/>(d) Celestia may terminate for non-payment after 30 days notice.<\/p>\n<p>\u00a0<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-af1409e elementor-widget elementor-widget-text-editor\" data-id=\"af1409e\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>6. IP Ownership and Confidentiality<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-3a6cc24 elementor-widget elementor-widget-text-editor\" data-id=\"3a6cc24\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>(a) Client owns all IP created through Client Work.<\/p>\n<p><br \/>(b) Both parties will protect each other\u2019s confidential information.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-10eec90 elementor-widget elementor-widget-text-editor\" data-id=\"10eec90\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>7. Indemnity<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-05e20c3 elementor-widget elementor-widget-text-editor\" data-id=\"05e20c3\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>Client will defend and indemnify Celestia against third party claims arising from: (a) Client&#8217;s breach; (b) Legal violations by Client Materials or Client Work; (c) Failure of Client Work to comply with accessibility laws.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-5c42a1f elementor-widget elementor-widget-text-editor\" data-id=\"5c42a1f\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>10.
